SIGCLEAR commercial terms.
End-user license, purchase, delivery, and refund terms for SIGCLEAR products.

1. Agreement
These terms form an agreement between SIGCLEAR PTE. LTD. ("SIGCLEAR", "we", or "us") and the person or organization purchasing, activating, or using a SIGCLEAR product ("you"). By accepting these terms, submitting an order, or using a product, you confirm that you have authority to enter into this agreement.
Your order, the applicable product description, and any written quotation accepted by both parties are part of this agreement. If an accepted quotation expressly conflicts with these terms, the quotation controls for that order.
2. Product licenses
After payment and activation, SIGCLEAR grants you a limited, non-exclusive, non-transferable right to install and use the purchased product during the stated license term. The license is limited to the product, number of workstations, and other usage limits shown in your order.
- A workstation license covers one designated workstation.
- A Workflow Automation HPC license covers up to four designated workstations. Additional workstation licenses are available only as extensions to an active HPC license.
- Document Automation and Development Toolchain are licensed by workstation unless an accepted quotation states otherwise.
A license file may be installed in a shared system location for authorized users of a licensed workstation. This does not increase the number of workstations or users permitted by the order.
3. Trials
A trial license is provided only for internal evaluation, is limited to the stated trial period, and may not be resold or used to provide a production service. SIGCLEAR may limit or end a trial if it is misused. Trial software is provided without service commitments unless required by law.
4. Orders and payment
Prices are shown in US dollars unless stated otherwise. Applicable taxes, duties, bank charges, or currency-conversion charges may be added or collected as required. Payment is processed by Airwallex through its hosted payment service; SIGCLEAR does not receive your complete payment-card details.
An order is accepted when SIGCLEAR confirms it after successful payment. We may reject an order and return the amount received if the product cannot be supplied, the order information is materially incomplete or incorrect, or fraud or sanctions checks require rejection.
Customized implementation, packaging, document styles, training, and consultancy are quotation-based services governed by the accepted quotation and any additional written terms.
5. Delivery and activation
SIGCLEAR products are delivered electronically as compiled packages and license files. Source code is not included. You must provide accurate contact, billing, and Host ID information and follow the published installation instructions. Delivery is complete when the license file or delivery instructions are sent to the email address supplied with the order.
If activation fails because of an incorrect Host ID or other order information, contact SIGCLEAR promptly. We will make reasonable efforts to correct genuine activation errors.
6. Cancellations and refunds
You may request cancellation before a license is issued. Because a license is a digitally delivered product tied to the supplied workstation information, purchases are generally non-refundable after delivery, except where SIGCLEAR cannot provide the purchased license, the product is materially defective and cannot be corrected within a reasonable time, or applicable law requires a refund.
Contact us promptly about duplicate payments, an incorrect product selection, or another ordering mistake. Any approved refund is returned through the original payment method. This section does not limit rights that cannot lawfully be excluded.
7. Permitted use and restrictions
You may use the products for your internal research, engineering, development, and documented customer delivery activities within the purchased license limits. You must not:
- share, sell, sublicense, or transfer a SIGCLEAR license file or activation credential;
- bypass or interfere with license controls;
- reverse engineer, decompile, or attempt to obtain SIGCLEAR source code, except to the limited extent such a restriction is prohibited by law; or
- redistribute SIGCLEAR binaries or libraries unless a written agreement expressly permits it.
You may package and deliver your own algorithms and workflows to partners or clients. Each recipient remains responsible for obtaining any SIGCLEAR product license required by the SIGCLEAR libraries or programs on which that solution depends.
8. Ownership and confidentiality
SIGCLEAR and its licensors retain all intellectual-property rights in the products, documentation, libraries, programs, package formats, and related materials. You retain ownership of your content, data, algorithms, and other materials that you create, subject to any third-party rights.
Non-public software, license mechanisms, credentials, and technical information supplied by SIGCLEAR must be protected from unauthorized access and disclosure.
9. Term, updates, and support
An annual license lasts for the period stated in the order and does not renew automatically unless the order expressly says so. Product updates made generally available for the licensed version are included during an active term. Consultancy, implementation work, and dedicated support are not included unless stated in the product description or an accepted quotation.
10. Warranty
SIGCLEAR warrants that a paid product will materially perform as described in its published documentation when used on a supported system. If you report a reproducible material defect during an active license term, SIGCLEAR will use reasonable efforts to correct it or provide a workaround. If neither is commercially reasonable, SIGCLEAR may terminate the affected license and refund the unused portion of its fee.
Except for this limited warranty and rights that cannot be excluded by law, products are provided "as is". SIGCLEAR does not warrant uninterrupted or error-free operation or that a product is suitable for every research, safety-critical, regulatory, or engineering purpose. You remain responsible for validating results and maintaining backups.
11. Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, punitive, or consequential loss, or for loss of profit, revenue, data, or business opportunity. SIGCLEAR's total liability arising from a product or order will not exceed the amount you paid for that product during the twelve months before the event giving rise to the claim.
These limits do not apply to liability that cannot legally be limited or excluded, or to your unauthorized use or disclosure of SIGCLEAR intellectual property or credentials.
12. Privacy and order records
SIGCLEAR may collect contact and organization details, billing and tax information, workstation Host IDs, support communications, and payment or order status. We use this information to process orders, issue and administer licenses, provide support, prevent misuse, keep financial records, and meet legal obligations.
Payment and billing information submitted through Airwallex is also handled under Airwallex's privacy terms. SIGCLEAR keeps personal information only as long as reasonably needed for these purposes and applies reasonable safeguards. 13. Suspension and termination
Either party may terminate this agreement for a material breach that is not corrected within thirty days after written notice. SIGCLEAR may suspend a license immediately where reasonably necessary to address fraud, a security risk, unlawful use, or deliberate circumvention of license controls. When a license expires or is terminated, you must stop using the affected product and remove its license files, except where the law requires otherwise.
14. Governing law and changes
These terms are governed by the laws of Singapore, without regard to conflict-of-law rules. The parties will first try in good faith to resolve a dispute through written discussion. The courts of Singapore have exclusive jurisdiction, unless applicable consumer law requires another forum.
SIGCLEAR may update these terms for future purchases and renewals. The version accepted with an order continues to govern that order unless a change is required by law or both parties agree otherwise.
